Picvelo Terms of Service

These Terms of Service set out the conditions for using the Picvelo service, a SaaS platform that enables photographers to share photo galleries with end clients for selection. These Terms constitute an agreement between Jakub Ciepielowski and the User (the photographer).

By using the service, you confirm that you have read these Terms and accept their provisions.

1. Definitions

For the purposes of these Terms, the following definitions apply:

• Picvelo, the online service available at picvelo.com, operated by Jakub Ciepielowski
• Service Provider, Jakub Ciepielowski as the party providing the Services
• User / Photographer, a natural person conducting business activity, a legal person or an organisational unit without legal personality that has concluded an agreement with the Service Provider by registering an account; and also a natural person using the service for private purposes (a consumer)
• End client, a natural person to whom the Photographer makes a link to a photo gallery available for the purpose of making a selection; the End client does not conclude an agreement with the Service Provider
• Gallery, a set of photos uploaded by the Photographer and made available to the End client through the Picvelo service
• Account, the Photographer's individual account in the service, created upon registration
• Subscription, paid access to a selected Picvelo service Plan
• Plan, a set of service features and limits: Free, Pro or Studio (details on the pricing page)
• Agreement, the agreement for the provision of services by electronic means, concluded by accepting these Terms
• DPA, the Data Processing Agreement, constituting Annex 1 to these Terms (available at /dpa)
• GDPR, Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016
• UŚUDE, the Polish Act of 18 July 2002 on the provision of services by electronic means
• UoPK, the Polish Act of 30 May 2014 on consumer rights

2. General provisions

2.1 Legal character

Picvelo provides services by electronic means within the meaning of UŚUDE. Agreements concluded with Photographers who are consumers (natural persons acting for purposes unrelated to their trade or business) are subject to the provisions of UoPK.

2.2 Service Provider's details

2.3 Conclusion of the agreement

The agreement is concluded at the moment registration is confirmed by clicking the verification link in the email message. Registration means that you have read and accepted these Terms.

2.4 Changes to the Terms

We will give notice of changes to the Terms at least 14 days before they take effect, by email to the address assigned to the Account. Continued use of the service after that date means acceptance of the changes. If you do not accept them, you are entitled to terminate the Agreement in accordance with § 12.

3. Technical requirements

Using the Picvelo service requires:

• An up-to-date web browser (Chrome, Firefox, Safari, Edge, the 2 most recent major versions)
• Internet access with a bandwidth of at least 5 Mbps (25 Mbps recommended when working with large galleries)
• JavaScript and cookies enabled
• An active email account

Picvelo is not liable for any inability to use the service resulting from a failure to meet the above requirements on the Photographer's side.

4. Account registration

4.1 Requirements

Only a person who meets the following conditions may become a Photographer:

• is at least 18 years old or has legal capacity
• has an active email address
• has agreed to these Terms and to the Privacy Policy

4.2 Registration process

1. Provide an email address and a password, or use social login (OAuth: Google, Facebook (Meta), Apple)
2. Click the verification link sent to the email address you provided; from that moment the Account is active
3. Optionally: configure two-factor authentication (2FA TOTP), which is recommended

4.3 Account security

The Photographer is responsible for keeping the password confidential and for the security of access to the Account. If unauthorised access is suspected, Picvelo must be notified immediately at: [email protected].

4.4 One account per entity

One entity may hold one active Account. Creating multiple accounts in order to circumvent limits or the conditions of these Terms is prohibited.

5. Plans and subscriptions

5.1 Available plans

The current prices, limits and features of each plan are available on the Picvelo pricing page. Prices are given in PLN for customers in Poland (payment by card or BLIK) and in EUR for other customers; the currency and the amount charged are determined by the pricing page at the moment of purchase.

5.2 Automatic renewal

A subscription paid by card is concluded for a monthly or annual period with automatic renewal; an annual plan paid in a single payment (BLIK/Przelewy24) does not renew automatically and expires at the end of the period paid for. An upgrade to a higher plan takes effect once the new plan has been paid for. The Photographer can manage the subscription from the Account settings (the Stripe billing portal).

6. Payments and invoicing

6.1 Payment operator

Payments are handled by Stripe Payments Europe Ltd. (registered in Ireland). Payment card details are stored solely by Stripe; Picvelo has no access to full card data.

6.2 Billing cycle and failed payments

The subscription renews automatically on the annual or monthly anniversary of activation. If a payment fails, the payment operator will make further attempts; if these also fail, the account may be downgraded to the Free plan. Gallery data is retained for an additional 30 days (grace period).

6.3 Invoices

Billing documents confirming payment are issued automatically by the billing system (Stripe) and sent to the email address linked to the account. To have the document issued correctly, the Photographer is obliged to provide accurate billing details.

6.4 Price changes

Picvelo reserves the right to change Subscription prices. A price change for existing subscriptions takes effect after the Photographer has been informed at least 30 days before the new prices come into force. If you do not accept the new prices, you are entitled to cancel the Subscription without additional charges.

7. Right of withdrawal and refunds

7.1 Free plan

You can get to know the service free of charge and with no time limit under the Free Plan. The Free Plan does not require a payment card. The service does not offer a separate trial period for the paid plans.

7.2 Right of withdrawal (consumers)

Photographers who are consumers have the right to withdraw from the agreement without giving a reason within 14 days of concluding it, in accordance with Article 27 UoPK.

However, if the Photographer has expressly requested that the provision of services begin before the withdrawal period expires and the services have been performed in full, the right of withdrawal expires in accordance with Article 38(1) UoPK. Activation of a Subscription by the Photographer constitutes such an express request.

7.3 Detailed refund rules

Detailed rules on refunds and complaints are described in the Refunds and Complaints Policy.

8. Acceptable Use Policy (AUP)

The Photographer is obliged to use the service in accordance with the Acceptable Use Policy. Breaches of the AUP may result in a warning, suspension or deletion of the account.

Key prohibitions:

• Storing or sharing unlawful content, including child sexual abuse material (CSAM)
• Infringing the copyright of third parties
• Actions that disrupt the operation of the service or the infrastructure
• Circumventing technical limits or security mechanisms

9. Entrustment of personal data processing (Art. 28 GDPR)

9.1 Roles of the parties

In connection with the provision of the Services:

• The Photographer is the controller of the personal data of their End clients within the meaning of the GDPR
• Picvelo is the processor of that data on behalf of the Photographer

9.2 Conclusion of the DPA

By accepting these Terms, the Photographer simultaneously concludes with Picvelo a Data Processing Agreement (DPA), constituting Annex 1 to these Terms and available at /dpa. The DPA governs, among other things, the scope and purpose of processing, Picvelo's obligations as a processor, the list of subprocessors and the technical and organisational measures.

9.3 The Photographer's obligations

The Photographer undertakes to have an appropriate legal basis for processing the data of their End clients and to inform them that the data is passed on to Picvelo.

10. Intellectual property

10.1 The Photographer's rights

The Photographer is the owner or licensee of all photos uploaded to the service. Picvelo claims no intellectual property rights to the photos, galleries or other content uploaded by the Photographer.

The Photographer grants Picvelo a limited, non-exclusive licence to store, display and technically process the photos solely for the purpose of providing the Services. The licence expires once the photos are deleted or the account is closed.

10.2 Picvelo's rights

Picvelo owns all rights to the platform, the source code, the user interface, the name and the logos. Copying, decompiling or creating derivative works without the written consent of Picvelo is prohibited.

11. Limitation of liability

11.1 Exclusions

Picvelo is not liable for:

• content uploaded and shared by Photographers
• acts or omissions of End clients
• interruptions in availability resulting from planned maintenance work, failures of third-party infrastructure or force majeure

11.2 Liability cap

To the extent permitted by applicable law, Picvelo's total liability towards the Photographer is limited to the fees paid by the Photographer during the last 2 years before the event causing the damage.

This limitation does not apply to damage caused intentionally or resulting from Picvelo's gross negligence, nor to consumer claims arising from mandatory provisions of law.

11.3 Force majeure

Picvelo is not liable for non-performance or improper performance of the Services due to circumstances beyond Picvelo's control: natural disasters, actions of state authorities, cyberattacks on third-party infrastructure, extensive network failures and similar events.

12. Termination of the agreement

12.1 Termination by the Photographer

The Photographer may delete their account at any time from the panel (Additional settings > Delete account; the operation requires confirmation with a password). The consequences are:

• immediate or scheduled (at the end of the billing period) termination of the Subscription
• deletion of galleries and photos after a 30-day grace period
• retention of billing data for the period required by law (5 years)

12.2 Termination by Picvelo

Picvelo may terminate the Agreement with 30 days' notice given by email. Picvelo may suspend or terminate the Agreement without notice in the event of:

• a gross breach of these Terms or of the AUP (in particular CSAM)
• failure to pay fees for more than 30 days after the grace period has been exhausted
• an order of a competent public authority

If the Agreement is terminated without justification through Picvelo's fault, the Photographer is entitled to a refund of the proportionate part of the fee for the unused part of the Subscription period.

13. Complaints and alternative dispute resolution

13.1 Filing a complaint

We accept complaints:

A complaint should contain contact details, a description of the problem and the expected resolution. Picvelo considers complaints within 14 business days of receipt. In complex cases the deadline may be extended to 30 days, of which we will inform you.

13.2 Out-of-court dispute resolution

Photographers who are consumers may use out-of-court methods of handling complaints and pursuing claims, including the assistance of a municipal or district consumer ombudsman, the provincial inspectorates of the Trade Inspection Authority and the permanent consumer arbitration courts. 14. Final provisions

14.1 Governing law

The Agreement is governed by Polish law. In matters not regulated here, the Polish Civil Code, UŚUDE, the GDPR and, in relation to consumers, UoPK apply.

14.2 Jurisdiction

The court competent for disputes arising from these Terms is the court competent for the registered office of Jakub Ciepielowski. In relation to Photographers who are consumers, the competent court is the court of the consumer's place of residence or the court competent for the registered office of the Service Provider, at the consumer's choice.

14.3 Severability

The invalidity of any provision of these Terms does not affect the validity of the remaining provisions.

14.4 Language

These Terms are drawn up in Polish, which is the binding language. Versions in other languages are for information purposes only.
